Welcome to NextDoc AI (“NextDoc”, “we”, “our”, or “us”). These Terms & Conditions (“Terms”) govern your access to and use of the NextDoc AI platform, including our website located at nextdoc.ai, our AI Engine services, APIs, and any associated applications (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. About the Service

NextDoc AI is an AI-powered document generation, editing, and management platform designed to assist individuals and organisations in creating, organising, refining, and sharing structured documents. The Service includes AI-driven document creation, streaming generation, text transformation tools, contextual chat-based refinement, project-based organisation, document embedding and semantic search capabilities, file uploads and cloud storage, sharing and collaboration features, as well as template and theme systems.

The platform integrates third-party artificial intelligence providers, including OpenAI, Google Gemini, and Anthropic, to deliver AI-generated content and related functionality. The availability of specific AI models or features may change over time at our discretion.

2. Eligibility and Use

You must be at least 18 years old and capable of entering into legally binding agreements to use the Service. By using NextDoc AI, you represent and warrant that you meet these requirements and that the information you provide during registration and throughout your use of the Service is accurate and complete.

You agree to use the Service only in compliance with applicable laws and regulations. We reserve the right to suspend or terminate access to the Service if you violate these Terms or use the platform in a manner that is unlawful, harmful, or inconsistent with its intended purpose.

3. User Accounts

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

NextDoc AI uses secure authentication mechanisms, including token-based authentication, to protect user sessions. However, you remain responsible for safeguarding your account credentials and devices.

We reserve the right to suspend or disable accounts that are found to be in breach of these Terms or that present a security risk to the platform or other users.

4. Subscriptions and User Roles

NextDoc AI may offer multiple subscription tiers, including Free, Pro, and administrative roles. Features and usage limits vary depending on your subscription level. Access to certain AI models, premium templates, themes, and advanced functionality may require a paid subscription.

Subscription fees, where applicable, are billed in accordance with the pricing displayed at the time of purchase. Unless otherwise required by applicable UK consumer protection laws, subscription payments are non-refundable. We reserve the right to modify pricing, introduce new charges, or change subscription features upon reasonable notice.

5. AI-Generated Content

The Service enables users to generate and transform content using artificial intelligence models. You acknowledge that AI-generated content may contain inaccuracies, omissions, or outputs that do not meet your expectations. You are solely responsible for reviewing, verifying, and validating any content generated through the Service before relying on or distributing it.

NextDoc AI does not guarantee the factual accuracy, completeness, or suitability of AI-generated outputs for legal, financial, medical, academic, or other professional purposes. The Service is provided as a productivity and drafting tool, and all final responsibility for content remains with you.

Subject to your compliance with these Terms, you retain ownership of the documents and content you create using the Service.

6. Acceptable Use

You agree not to use the Service to upload, create, store, or distribute content that is illegal, harmful, defamatory, infringing, or otherwise objectionable. You must not upload copyrighted materials without having the necessary rights or permissions.

You further agree not to misuse the AI systems, attempt to reverse engineer or extract proprietary components, interfere with the operation of the Service, or attempt to gain unauthorised access to systems or data. Activities that overload, disrupt, or compromise the integrity or security of the platform are strictly prohibited.

We reserve the right to investigate and take appropriate action, including suspension or termination of access, in response to violations of this section.

7. Intellectual Property

As between you and NextDoc AI, you retain ownership of the content you upload or create using the Service, including documents, notes, and project data. By using the Service, you grant us a limited, non-exclusive licence to host, process, store, and transmit your content solely for the purpose of operating, improving, and providing the Service.

All rights, title, and interest in and to the Service itself, including the platform architecture, software, branding, design elements, and underlying technology, remain the exclusive property of NextDoc AI or its licensors. Nothing in these Terms grants you any rights in our intellectual property except as expressly provided.

8. Sharing and Collaboration

The Service allows you to share documents with other users or via secure links. You are solely responsible for managing access permissions, ensuring that shared links are distributed appropriately, and configuring any expiration settings.

NextDoc AI is not responsible for unauthorised access resulting from your decision to share documents or links. You acknowledge that once you grant access to another party, you are responsible for the consequences of that access.

9. Storage and Data Processing

Documents, files, and related content may be stored using secure cloud infrastructure. Content may also be processed for purposes such as embedding, indexing, semantic search, and AI-based generation. In delivering the Service, data may be processed by third-party AI providers strictly to provide requested functionality.

10. Availability and Modifications

We strive to maintain reliable access to the Service but do not guarantee uninterrupted or error-free operation. We may modify, update, suspend, or discontinue any part of the Service at any time, including features, AI models, or pricing structures.

We may also perform maintenance or upgrades that temporarily affect availability. Where reasonably practicable, we will provide advance notice of significant changes.

11. Limitation of Liability

To the fullest extent permitted under the laws of England and Wales, NextDoc AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to NextDoc AI in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Termination

We may suspend or terminate your access to the Service immediately if you breach these Terms, engage in fraudulent or abusive activity, or create risk or harm to the platform or other users.

You may terminate your account at any time by using the account deletion functionality within the platform or by contacting support. Upon termination, your right to access the Service will cease, subject to any applicable data retention obligations.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
